Most businesses in the United States are service-based.  Traditional choice-of-entity considerations apply with different emphasis to service businesses versus businesses that manufacture something.  This program will cover the major tax and non-tax considerations of forming a service-based business, including regulatory requirements for certain industries, the differing treatment of income in a service business, goodwill issues, employment tax issues, and considerations on the sale of a service-based business.

This program will provide you with a review of major developments under the Family and Medical Leave Act.  The program will cover case law developments in the last year, including interpretation of recent FMLA regulations in the lower courts. The program also discuss major issues of continuing concern to employers, including intermittent leave and abuse of leave, verification of the need for leave and access to medical records, notice issues, and reassignment on the return of employees from leave.  The relationship of the FMLA to the ADA, workers compensation laws and the Genetic Information Nondiscrimination Act (GINA), and the practical importance of those overlaps to employers, will also be discussed. 



 

Like-Kind Exchange of Businesses and Business Interests

Like-Kind exchange provisions of the tax code can be used to exchange interests in businesses in the same way as interests in real estate.  Although this practice is little known, like-kind exchange techniques are effective for tax-efficiently exchanging business interests.  This program will discuss the elements of a valid, tax-deferred exchange, various structures for accomplishing the exchanges, and drafting the operative documents.
