ASSISTANT GENERAL COUNSEL: The Assistant General Counsel will be a key member of the Legal Department and will provide legal support for senior executives, potentially including the Chief Operations Officer, the Chief Information Officer, the Chief Financial Officer, the Chief Marketing Officer and their respective organizations.  The position reports to the General Counsel and may, depending on significant demonstrated capabilities over time in a corporate legal setting, have management responsibility for non-lawyer and lawyer professionals within the Legal Department. Responsibilities: Contributes to the strategic direction of the Legal Department;  Develops and manages the annual department budget (a several-million dollar budget); Retains and manages outside counsel and related policies; In assigned areas, participates regularly and actively on functional management teams (e.g. might include the functional management teams of the COO, CIO, CFO and CMO).; Provides legal counsel and advice to Prime’s executive leadership, senior leadership, senior management and other staff on a wide variety of legal matters and projects throughout the organization; Negotiates sophisticated healthcare-related and commercial agreements; Assists or oversees other Prime counsel in managing disputes and litigation involving a variety of issues across the organization; Develops and reviews policies and operating procedures to ensure on-going compliance with relevant laws and regulations as well as ensure consistency across the organization; Works with Prime’s attorneys (currently seven, not including the GC) on escalated issues; Oversees the Company’s enterprise content management function; Manages cross functional projects; Participates in the Company’s senior leadership team; Depending on qualifications as described elsewhere in this job description, might initially, or over time, manage department lawyers, Records and Information Management staff  or Legal Team staff assistants or other support staff; Contributes to the  career development and overall development of departmental capabilities, and; Other duties as assigned. Minimum Qualifications: 18 or more years of legal experience advising healthcare companies, with a focus on state and federal health care laws impacting health plans, PBMs and pharmacies including those relating to PBM regulation, health insurance, pharmacies, HMOs, HIPAA/privacy, the False Claims Act, the Anti-Kickback Statute, the Patient Protection and Affordable Care Act, and other laws related to PBM operations, e.g. employment laws.  A mix of law firm and in-house experience, as well as PBM or insurance company, managed care industry experience, with the most recent experience being in a health care company, is strongly preferred; 5+ years of experience with dispute resolution, handling government audits/investigations, and managing litigation matters of varying complexity, including vendor disputes; matters involving IT and licensing agreements, customer agreements, pharmacy disputes, and other commercial agreements and disputes; and employment-related claims; 5+ years of experience handling complex PBM customer, pharmacy, vendor or similar agreements, and various related licensing agreements, and; J.D. degree and current state attorney’s license and willingness to secure a Minnesota license within six months if a Minnesota license is not currently maintained; Excellent organization and analytical skills and strong legal project management and facilitation skills (i.e. the ability to lead the work of other lawyers and legal professionals); Strong interpersonal skills, sound judgment, excellent oral and written communication skills, and an adaptable, cooperative and persuasive approach; Demonstrated ability to work both independently and collaboratively, provide leadership, influence organizational behavior, and create alignment across disparate groups; Strong work ethic and the ability to manage multiple tasks at once in a fast-paced, performance-driven culture;Ability to effectively provide practical and sound advice to executives and other business clients on legal issues related to business objectives. ASSOCIATE LEGAL COUNSEL: The main focus of this position will be to provide legal analysis on a wide range of healthcare topics including advice and support for Prime Therapeutics government programs, commercial PBM services contracting efforts, PBM operations, new product offerings, and related efforts.  This attorney will also provide legal advice regarding managed care, pharmacy and related laws and regulations that impact PBM operations generally.  This attorney may also be expected to assist Prime’s employment lawyer and provide legal advice and support to Prime’s Human Resources department.
