COUNSEL--SECURITIES, FINANCE & CORPORATE DEVELOPMENT: The Counsel will provide significant support to Ameriprise’s public-company disclosure obligations and to our activities in M&A, corporate finance, capital structuring and other non-routine or strategic transactions. Responsibilities: • Counsel the firm’s finance, communications and business professionals toward ensuring accurate and timely disclosures in satisfaction of SEC and NYSE requirements. Review and draft disclosures and other public communications, to include leading preparation of the firm’s 10-K, and coordinating Legal Department review of the Annual Report to Shareholders, press releases, investor presentations and quarterly SEC filings. • Provide securities law support to the firm’s compensation and benefits function, including ’33 Act initial and on-going registration of benefit and incentive plans containing an equity or employer-issued securities component. • Negotiate, review and draft a wide range of finance and M&A transaction documents, including purchase agreements, joint venture agreements, and financing contracts.
